Terms of Service
Welcome to Artarch (“Artarch,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the Artarch website and all related products, services, content systems, and tools, including Skira, Studio, and Aideals (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must stop using the Services.
1. Scope of Services
These Terms apply to your use of:
- the Artarch main site;
- user accounts, subscriptions, and memberships;
- Skira, Studio, and Aideals;
- generation, creation, remixing, editing, workflow, publishing, export, billing, and support features;
- any related content systems, public showcase areas, and future service extensions unless governed by separate terms.
Some products, enterprise plans, APIs, or special features may be subject to additional terms, policies, or commercial agreements.
2. Eligibility and Accounts
To use the Services, you must:
- have legal capacity to enter into a binding agreement;
- provide accurate and current registration information;
- maintain the security of your account credentials;
- be responsible for activities conducted under your account unless caused by our failure to maintain reasonable safeguards.
If you are under the age required by applicable law to enter into these Terms independently, you may use the Services only with appropriate parental or guardian consent.
3. Unified Account and Product Access
Artarch may provide a unified account system across Skira, Studio, and Aideals.
This means:
- you may sign in using one account across multiple Artarch products;
- some account information, billing records, membership status, and usage settings may be shared across products;
- access to one product does not automatically entitle you to every premium feature across all products unless expressly included in your plan.
Each product may offer different functionality, limits, credits, export capabilities, workflow tools, and commercial use options.
4. Memberships, Billing, and Paid Plans
Artarch offers paid products and may provide a unified premium membership structure across multiple services.
4.1 Membership Structure
Memberships may include:
- shared account recognition across products;
- unified billing or subscription management;
- shared credits or wallet-based usage in some scenarios;
- product-specific premium benefits, depending on the plan.
4.2 Product-Specific Rights
Even where plans are unified at the account level, certain rights and benefits may remain product-specific, including:
- advanced workflow access;
- premium generation features;
- export permissions;
- campaign, commerce, or enterprise tools;
- quota and usage limits.
4.3 Billing and Renewal
By subscribing to a paid plan, you agree to pay the applicable fees, taxes, and charges. Unless otherwise stated:
- subscriptions may renew automatically;
- you authorize us or our payment providers to charge the selected payment method;
- you are responsible for maintaining valid billing information.
4.4 Price Changes
We may change prices, subscription features, or usage limits from time to time. If we make material pricing changes affecting an active paid plan, we will provide notice as required by applicable law.
4.5 Refunds
Except where required by law or expressly stated in a specific refund policy, fees are generally non-refundable.
5. User Content and Inputs
You may upload, submit, prompt, reference, generate, edit, or otherwise use content through the Services (“User Content” or “Input”).
You represent and warrant that:
- you own or have sufficient rights to use any content you provide;
- your use of the Services and your content does not violate law, third-party rights, contractual obligations, or applicable platform rules;
- you are solely responsible for your content, instructions, and how you choose to use outputs.
6. Outputs and Generated Materials
The Services may generate text, images, video, workflows, structured materials, or other outputs (“Outputs”).
Outputs may vary in quality, availability, originality, and legal treatment depending on the product, model, feature, and applicable law.
You are responsible for reviewing Outputs before relying on them, especially where they may affect:
- public distribution;
- commercial use;
- advertising claims;
- third-party rights;
- legal, financial, medical, engineering, or safety-sensitive decisions.
7. Rights in User Content and Outputs
7.1 Your Rights
As between you and Artarch, and subject to applicable law and third-party rights, you retain rights in the content you upload or create.
7.2 License to Us
You grant Artarch a limited, non-exclusive, worldwide license to host, store, reproduce, process, display, adapt, transform, transmit, and otherwise use your content as reasonably necessary to:
- operate the Services;
- provide requested features;
- execute workflows;
- maintain safety, reliability, and support;
- improve product functionality consistent with our Privacy Policy and applicable law.
7.3 Our Technology
Artarch retains all rights in its software, infrastructure, interfaces, templates, workflow systems, models, systems design, product architecture, and related intellectual property. Use of the Services does not transfer ownership of those elements to you.
7.4 No Private Commercial Misuse by Us
We do not privately take your user content and commercialize it for our own unrelated advertising, resale, or independent commercial exploitation without your permission.
8. Acceptable Use
You may not use the Services to:
- violate any law or regulation;
- infringe intellectual property, privacy, publicity, data protection, or other rights;
- upload or generate harmful, unlawful, fraudulent, misleading, defamatory, exploitative, or abusive content;
- impersonate others or misrepresent affiliation, endorsement, or identity;
- distribute malware, interfere with service integrity, abuse APIs, scrape protected areas, or bypass technical restrictions;
- overload, probe, attack, or disrupt our systems;
- build or train competing systems using prohibited access methods or service misuse;
- evade fees, quotas, seat restrictions, or paid plan requirements through account abuse or workaround behavior.
We may monitor, investigate, restrict, suspend, or terminate access to protect the Services, users, and legal compliance.
9. Public Features and Community Visibility
Where the Services include public showcase, sharing, publishing, or collaborative features:
- content you choose to share publicly may become visible to other users or the public;
- you are responsible for what you choose to publish;
- public content may remain accessible in cached, exported, or previously shared forms even after later removal in some cases.
10. Availability and Product Changes
We may modify, suspend, discontinue, or update any part of the Services at any time, including:
- features and product structure;
- content availability;
- workflow options;
- plan entitlements;
- storage, export, and usage limits;
- membership models and pricing.
We do not guarantee uninterrupted or error-free operation of every feature at all times.
11. Third-Party Services
The Services may integrate with third-party tools, hosting providers, payment processors, authentication services, analytics providers, or connected platforms.
We are not responsible for third-party services, content, or policies except as required by law. Your use of third-party services may be governed by their own terms and privacy policies.
12. Termination and Suspension
You may stop using the Services at any time.
We may suspend or terminate your access if:
- you violate these Terms or applicable policies;
- your use creates legal, operational, or security risk;
- required payments are not made;
- we are required to do so by law or service integrity concerns.
Upon termination, some rights granted to you may end immediately, while certain provisions of these Terms will survive, including those related to payments, ownership, disclaimers, liability limits, disputes, and enforcement.
13. Disclaimers
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis.
We do not guarantee that:
- outputs will always be accurate, unique, lawful for your intended use, or suitable for commercial deployment;
- services will be uninterrupted, error-free, or available in every region or context;
- public or third-party uses of your content will always be fully preventable once you intentionally publish or share it.
You are responsible for reviewing outputs, verifying rights, and determining fitness for use.
14. Limitation of Liability
To the maximum extent permitted by law:
- Artarch and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages;
- we are not liable for loss of profits, revenue, goodwill, data, business opportunities, or interruption arising from use of the Services;
- our aggregate liability for claims arising out of or relating to the Services will not exceed the greater of the amount you paid us for the relevant service in the twelve months before the claim, or USD $100.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
15. Indemnification
You agree to defend, indemnify, and hold harmless Artarch, its affiliates, personnel, contractors, and partners from claims, damages, liabilities, costs, and expenses arising from:
- your use of the Services;
- your content or prompts;
- your violation of these Terms;
- your infringement or misuse of third-party rights;
- your unlawful or harmful conduct related to the Services.
16. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last Updated” date and may provide additional notice where appropriate.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
17. Governing Law and Disputes
These Terms will be governed by the laws specified in the applicable legal jurisdiction for Artarch operations, unless otherwise required by mandatory local law.
Any disputes arising out of or relating to these Terms or the Services will be resolved according to the dispute resolution procedures we specify in a product, enterprise, or jurisdiction-specific legal notice, where applicable.
